Welcome to The Happ App (“the App,” “we,” “us,” or “our”), operated by Bright Sail Company, LLC, a Minnesota limited liability company. The App is a family-focused discovery platform that helps users find local kids’ events, activities, and event and/or dining deals in the Minneapolis–St. Paul metro area. These Terms of Service (“Terms”) are a legal agreement between you and Bright Sail Company, LLC and govern your access to and use of the App, including our website at https://thehapp.app and any related features, content, and services (collectively, the “Service”).
Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Adults only. The Service is intended for adults. You must be at least 18 years old and able to form a binding contract to create an account or use interactive features. The Service is not directed to children, and we do not knowingly permit anyone under 18 to register. Although the App helps you discover activities for children, accounts and content are intended to be created and managed by adults.
Registration. Some features require an account. You agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at hello@thehapp.app of any unauthorized use.
One person, one account. Accounts are personal to you and may not be shared, sold, or transferred without our permission.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:
We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation.
Your content. The Service lets you submit events, suggestions, favorites, messages, feedback, and other materials (“User Content”). You retain ownership of your User Content.
License to us. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, publish, and distribute that User Content in connection with operating, promoting, and improving the Service. This license continues for User Content you have shared publicly even after you remove it, to the extent copies have been shared by others or retained in backups.
Your representations. You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any third party’s rights. You are solely responsible for your User Content.
Moderation. We are not obligated to monitor User Content, but we may review, screen, edit, or remove any User Content at any time, in our discretion, without notice. We do not endorse and are not responsible for any User Content.
The Service may allow users to message one another and interact through community features such as suggestions, favorites, and badges. You are responsible for your communications. Do not use messaging to harass, solicit, defraud, or send prohibited content. We may access, review, and moderate messages to enforce these Terms, respond to reports, and protect users, and we may limit or disable messaging features at any time.
Information only; verify before you go. Event listings, activities, hours, prices, locations, and other details on the Service are compiled from third-party sources and public feeds and are provided for general informational purposes. We do not organize, sponsor, or control most listed events, and we do not guarantee that any listing is accurate, complete, current, or that an event will occur as described. Always confirm details directly with the organizer or venue before making plans or traveling.
No endorsement. Reference to any event, organizer, venue, business, or third party is not an endorsement. Your interactions and transactions with any third party are solely between you and that third party.
Third-party deals. The Service features dining and activity deals and discounts offered by third-party businesses. Those offers are subject to the terms, availability, and conditions set by the business providing them. We are not the seller and are not responsible for honoring, fulfilling, or resolving disputes about any deal.
Affiliate disclosure. Some links and offers may be affiliate or partner arrangements, meaning we may earn a commission or fee if you click a link or make a purchase, at no additional cost to you. This does not change the price you pay.
The Service may offer a referral program and gamified rewards such as badges. Any rewards, points, or badges have no cash value, are non-transferable, and may be modified or discontinued at any time. We may disqualify participation and revoke rewards obtained through fraud, abuse, or violation of these Terms.
If you access business features or purchase a business plan to promote a listing, deal, or event, additional terms may apply and are incorporated by reference. You represent that you are authorized to act for the business and that your listings are accurate and lawful. Fees, billing, and cancellation terms for business plans are described at the point of purchase.
The Service, including its software, design, text, graphics, logos, and the compilation of listings, is owned by Bright Sail Company, LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved. “The Happ,” “The Happ App,” and our logos are our trademarks and may not be used without our prior written permission.
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to our designated agent at [hello@thehapp.app] including: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the material claimed to infringe and its location on the Service; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove infringing material and terminate repeat infringers.
The Service may contain links to third-party websites, maps, and services (including mapping and location providers). We do not control and are not responsible for third-party content, policies, or practices. Accessing third-party services is at your own risk and subject to their terms.
THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT LISTINGS, DEALS, OR OTHER INFORMATION ARE ACCURATE, RELIABLE, OR CURRENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, Bright Sail Company, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY EVENT OR DEAL, OR ANY THIRD-PARTY CONDUCT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Bright Sail Company, LLC and its owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or any law or third-party right.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Except where prohibited, you agree that any dispute will be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the “Last updated” date above. Your continued use after changes take effect constitutes acceptance.
